1. Acceptance of these Terms
These Terms of Service (“Terms”) are a binding agreement between you and OpenEng (“OpenEng”, “we”, “us”) governing your access to and use of our website, the OpenEng Desktop application, the OpenEng engine, and the OpenEng Console (console.openeng.ai) (collectively, the “Services”). By installing, accessing, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
2. Eligibility
You must be at least 16 years old, and able to form a binding contract, to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
3. The Services and plans
OpenEng provides local-first, agentic engineering tools, including a desktop workspace and a command-line interface that run AI agents on your own machine, plus a hosted Console for configuration. The Services are offered on two plans: a Free plan, and a paid Pro subscription that unlocks additional features (described at openeng.ai/pricing). We may add, change, suspend, or discontinue features at any time.
3a. Subscriptions, billing & cancellation
The Pro plan is a monthly subscription billed in advance; its price will be published at launch (Q4 2026). Payments are processed by Razorpay; the charge is made in INR at the prevailing exchange rate, and your bank or card issuer may apply its own conversion fees. Prices are exclusive of any taxes that we are required to collect, which are added at checkout where applicable.
Trial. New accounts may receive a 30-day Pro trial. No payment method is required for the trial; when it ends, your account moves to the Free plan automatically unless you subscribe. Nothing is charged during or after the trial unless you start a paid subscription.
Cancellation. You can cancel anytime from openeng.ai/subscribe. Cancellation stops future renewals; you keep Pro access until the end of the period you have already paid for, after which the account moves to the Free plan.
Refunds. Except where required by applicable law, payments are non-refundable and we do not provide refunds or credits for partial billing periods. If you believe you were charged in error, contact us at hello@openeng.ai within 30 days of the charge and we will review it in good faith.
Price changes. We may change subscription pricing with at least 30 days’ notice; changes take effect at your next renewal, and you can cancel before then.
4. Your account
Some features require you to sign in with Google. You are responsible for maintaining the security of the Google account you use and for all activity under your OpenEng account. Notify us promptly of any unauthorized use. Authentication is provided through Firebase Authentication, as described in our Privacy Policy.
5. License
Subject to these Terms, OpenEng grants you a personal, non-exclusive, non-transferable, revocable license to download, install, and use the Services for your personal or internal business purposes. All rights not expressly granted are reserved. Open-source components included in the Services remain governed by their respective licenses.
6. Acceptable use
You agree not to:
- use the Services to violate any law or the rights of others;
- reverse engineer, decompile, or attempt to extract source code except as permitted by applicable law or an applicable open-source license;
- resell, sublicense, or commercially redistribute the Services except as expressly permitted;
- interfere with, disrupt, or compromise the integrity or security of the Services or any connected system;
- use the Services to generate or distribute malware, spam, or unlawful, harmful, or infringing content; or
- misrepresent your identity or impersonate any person or entity.
You are solely responsible for the commands you run, the agents you build, and the actions you authorize through the Services.
7. Your content and data
You retain all rights to the content you create or process with the Services — your code, files, prompts, agents, and outputs (“Your Content”). Because the Services are local-first, Your Content stays on your device and we claim no ownership of it. You are responsible for Your Content and for maintaining your own backups.
8. Third-party services & bring-your-own-key
The Services let you connect third-party services that you control — for example, cloud AI model providers (using your own API keys), your own cloud accounts for deploying agent cells, and local model runtimes. Your use of those services is governed by their terms and policies, and you are responsible for any fees, keys, credentials, and compliance obligations associated with them. OpenEng is not responsible for third-party services and does not control them.
9. Intellectual property
The Services, including the OpenEng software, brand, logos, and website content (excluding Your Content and third-party open-source components), are owned by OpenEng and protected by intellectual property laws. These Terms do not grant you any right to use the OpenEng name or logos without our prior written permission.
10. Disclaimer of warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that AI-generated output will be accurate, complete, or suitable for any purpose. You are responsible for reviewing AI output and for any actions you take based on it.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENENG AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. OPENENG’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (a) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (b) ONE HUNDRED U.S. DOLLARS (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless OpenEng from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Services, your violation of these Terms, or your violation of any law or the rights of a third party.
13. Termination
You may stop using the Services at any time and delete your account by contacting us. We may suspend or terminate your access if you breach these Terms or to protect the Services or other users. Provisions that by their nature should survive termination (including sections 7–12 and 15) will survive.
14. Governing law
These Terms are governed by the laws applicable at OpenEng’s principal place of business, without regard to conflict-of-laws rules. The courts located there will have exclusive jurisdiction over any dispute, except where applicable law gives you the right to bring proceedings in your country of residence. Nothing in these Terms limits any mandatory consumer-protection rights you may have.
15. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, provide a more prominent notice. Your continued use of the Services after an update means you accept the revised Terms.
16. Miscellaneous
These Terms, together with the Privacy Policy, are the entire agreement between you and OpenEng regarding the Services. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
